1. Acceptance of Terms

By accessing or using the services provided by YODA TECHNOLOGY SOLUTIONS LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

YODA Technology Solutions provides custom software development, IT consulting, cloud infrastructure, cybersecurity, and AI automation services. The specific terms of each engagement will be outlined in a separate Statement of Work (SOW) or service agreement.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for project execution
• Respond to requests for feedback and approvals in a timely manner
• Designate authorized representatives for project communications
• Ensure compliance with all applicable laws and regulations
• Maintain confidentiality of any proprietary information shared

• Payment terms are specified in individual SOWs or service agreements
• Invoices are due within 30 days unless otherwise specified
• Late payments may incur interest at 1.5% per month
• We reserve the right to suspend services for overdue accounts

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the engagement. This obligation survives termination of the agreement for a period of three (3) years.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. Except for this express warranty, our services are provided "as is" without any other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from our services shall not exceed the fees paid by you in the twelve (12) months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Indemnification

You agree to indemnify and hold harmless YODA Technology Solutions, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these terms.

10. Term and Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, you shall pay for all services rendered through the termination date. Provisions relating to intellectual property, confidentiality, and limitation of liability shall survive termination.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of war, government actions, or internet outages.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these terms shall first be addressed through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Broward County, Florida, in accordance with the rules of the American Arbitration Association.

14. Modifications

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.

15. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms of Service, together with any applicable SOW or service agreement, constitute the entire agreement between you and YODA Technology Solutions regarding the subject matter herein.
